These Terms of Service (“Terms”) are an agreement between you and Zuops (“Zuops”, “we”, “us” or “our”). They cover your use of zuops.com, our apps, our API and everything we offer through them (the “Services”).
By creating an account, clicking a button or checking a box that refers to these Terms, or using the Services, you agree to these Terms and to our Privacy Policy. If you use the Services for a company or other organization, you agree on its behalf, and “you” means both you and that organization.
Please read Section 22. It explains how disputes are resolved, including binding individual arbitration and a class action waiver, and how you can opt out.
A plain-language summary. The full text below is what applies.
Zuops is a business platform based at 522 W Riverside Ave Ste N, Spokane, WA 99201, USA. The Services are made for businesses and professionals, not for personal, family or household use. You must be at least 18 years old and able to enter a binding contract to use them. If you accept these Terms for an organization, you confirm that you have the authority to do so.
Zuops gives businesses and marketing agencies the tools to create and run advertising and to follow up with the leads it brings in, including:
Features vary by plan and may change as described in Section 17.
Keep your account information accurate and your login private. Don’t share logins; invite team members instead. You’re responsible for everything that happens under your account, including what your team members, sub-account users and anyone using your API keys do. Tell us right away at support@zuops.com if you think someone has accessed your account without permission.
The account owner controls the account, including its team, billing and sub-accounts. If there’s a disagreement about who owns an account, we may rely on the person who created it or who pays for it.
You agree that we may send you account, billing, security and service messages by email, in the app, by push notification or by text to the number you give us, and that these electronic messages meet any requirement for written notice. You can’t opt out of essential service messages while you have an account. You can unsubscribe from our marketing emails at any time.
Paid plans are billed in advance, monthly or yearly, and renew automatically at the end of each billing period at the then-current price until you cancel. By subscribing, you authorize us and our payment processor to charge your payment method for each renewal, plus applicable taxes and any usage charges, without asking you again. The price, billing period and what’s included are shown before you pay.
Many features use credits or usage-based charges (for example AI images and video, texts, calls, phone numbers and email) at the rates shown in the app when you use them. Monthly plan credits refresh every month, and unused monthly credits roll over for one month. Credits you buy in packs, and bonus credits on yearly plans, don’t expire while your account is open. If a generation fails, its credits are returned automatically.
Credits have no cash value, can’t be transferred or sold, and aren’t refundable except where the law requires. We may change what features cost in credits going forward; the cost shown when you start an action is what you pay for it.
We’ll give you at least 30 days’ notice before a price increase for your subscription takes effect. The new price applies from your first renewal after the notice period, and you can cancel before then.
You can cancel online at any time from the Subscription page, or by emailing support@zuops.com from your account email. There’s no cancellation fee. When you cancel, your paid plan ends right away: paid features and any remaining monthly and rollover credits end at that moment, and the unused part of the billing period isn’t refunded. Credit packs you bought stay on your account.
Canceling doesn’t delete your account, content or CRM data, so you can come back or export what you need. You can ask us to delete them at any time (Section 5.7). Where we offer it, you can pause your plan instead of canceling.
Payments are non-refundable, except where the law requires a refund or where we choose to make an exception. If you think a charge is wrong, contact us within 60 days and we’ll look into it; that’s usually much faster than a chargeback. If you file a chargeback, we may suspend the account until it’s resolved.
If a payment fails, we may retry it and may pause paid features, including texting and calling, until it’s paid. Prices don’t include taxes unless we say so. You’re responsible for sales, use, value-added and similar taxes on your purchases, other than taxes on our income.
Free tools, trials and promotional credits may have limits and may change or end at any time. Unless a trial says otherwise, it becomes a paid plan when it ends unless you cancel before then.
As between you and Zuops, you own:
We don’t claim ownership of either.
You give us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit and display Your Content and Customer Data only as needed to provide the Services to you and as you direct (for example, sending a text to a lead or publishing a page on your domain), to keep the Services secure, prevent abuse and fix problems, and to comply with the law. The license ends when the content is deleted, except for copies in backups that roll off on their normal schedule and anything we must keep by law.
We do not use Your Content or Customer Data to train, fine-tune or otherwise improve artificial intelligence or machine learning models, ours or anyone else’s. When an AI feature runs, only what that feature needs is sent to the AI provider that powers it, only to produce your result, and under terms that don’t allow the provider to train its models on it. Features that learn your preferences, such as the rules you teach your AI assistant, use them only for your own account.
We do use aggregated, de-identified information about how the Services are used (such as how often a tool is used or how long a job takes) to run and improve Zuops. It never includes the content of your ads, files, pages, CRM records or messages, and it can’t be used to identify you or your contacts.
We don’t sell, rent or trade Customer Data. We don’t contact your leads or customers for our own purposes, add them to our marketing, or share them with other Zuops customers. The only messages your contacts get through Zuops are the ones you, your automations or your AI assistants send, plus legally required replies such as an opt-out confirmation. If someone asks not to be contacted through the Services (for example by replying STOP), we keep a record so that request is respected.
For Customer Data, you decide why and how it’s used (you’re the “controller” or “business”), and we process it for you as your “processor” or “service provider”, following your instructions and our Privacy Policy. You’re responsible for having the right to collect and use it, including giving your contacts any notices and getting any consents they need. If you need a data processing agreement, email privacy@zuops.com.
The Services aren’t designed to store or send protected health information under HIPAA, payment card numbers outside our payment forms, or government ID numbers, and Zuops isn’t a HIPAA business associate unless we’ve agreed to that in writing. Don’t use the Services for that kind of information. Health and wellness businesses should keep messages and notes to scheduling and general information.
You can download your ads and export your data while your account is open, and we’ll help if you can’t find something. You can ask us to delete your account and its data at any time by emailing privacy@zuops.com from your account email. We’ll delete it within 30 days, except for backups that roll off on their normal schedule, opt-out records, and anything we must keep for legal, tax or security reasons.
When you post in the community, publish an ad to the Ad Library or send us a testimonial, others can see it, and you give us a non-exclusive, royalty-free license to display, copy and adapt it within the Services and, for testimonials you send us, in our marketing. You can delete your community posts and ask us to remove an ad you published at any time.
You confirm that you have the rights needed for Your Content and Customer Data, that using them in the Services doesn’t break the law or anyone’s rights, and that you’re responsible for them and for how you use what you create.
Zuops uses AI to create and edit ads, images, video and voice, to score ads, to write and send replies, to answer and place calls, and to summarize and recommend. AI output can be wrong, incomplete or inappropriate, and can be similar to output made for others. Review it before you use, publish or send it. You’re responsible for the output you use and for making sure it’s accurate and lawful for your business. AI output isn’t legal, financial, medical or other professional advice.
To the extent the law allows, the output you create belongs to you, and we assign to you any rights we have in it. Because AI can produce similar results for different people, other users may get similar output, and you get no rights in theirs. Some output, such as AI-generated images, may not be protected by copyright everywhere.
Ad scores, predicted performance, benchmarks and other ratings are estimates from AI models. They aren’t promises about how an ad or campaign will perform.
When you turn on an AI assistant that texts, emails, messages or calls your leads and customers, it acts for you and in your name. You choose when it’s on, what it knows and what it can do (such as booking appointments), and you’re responsible for what it says, just as you are for messages your staff send. Check its conversations, use the controls we provide to correct it, and follow the laws that apply to you on disclosing automated or AI communications and artificial or AI voices (see Section 8).
Don’t use AI features to create content that shows, sounds like or names a real person without their permission, or that could mislead people into believing something fake is real. AI presenters and voices provided in the Services are for marketing your own business or your clients’ businesses.
The Ad Library, templates, prompts, courses and other materials we provide (“Zuops Materials”) belong to us or our licensors. The Ad Library contains example ads, many of them made by us for fictional businesses and modeled on the kinds of ads businesses run publicly, along with ads shared by the community.
While you have an account, you may use and adapt Zuops Materials to create marketing for your own business, or for your clients if you’re an agency. You may not resell, republish, redistribute or bulk-download the Ad Library or other Zuops Materials, or use them to build a competing product or dataset.
Business names, offers, prices and claims in example ads are illustrations. Before you run an ad based on one, make sure every claim, price and offer in it is true for your business.
Texts, calls, voicemails and emails sent through the Services, including those sent by your automations, campaigns and AI assistants, are sent by you, not by Zuops. You’re responsible for complying with every law that applies to them, including the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule, the CAN-SPAM Act, state telemarketing and call-recording laws, and similar laws outside the US, as well as carrier and industry rules such as the CTIA guidelines and A2P 10DLC registration.
Before you text or call anyone, or send them marketing email, you must have the consent the law requires and be able to prove it. Marketing texts, and calls that use an automated system or an artificial, prerecorded or AI-generated voice, generally require the person’s prior express written consent. Don’t message purchased, rented, scraped or shared lists. Honor opt-outs right away: we automatically stop texts to people who reply STOP and similar words, and you must not try to get around that. Follow the quiet hours and do-not-call rules that apply to you, and identify your business in your messages.
If you record or transcribe calls, or let an AI assistant answer or place calls, you’re responsible for giving any notice and getting any consent the law requires, including in states that require everyone on a call to agree to it being recorded.
Phone numbers are provided through our carrier partners and are subject to their rules. You may use a number while your account is active and in good standing. Many texting features require brand and campaign registration with carriers. You must give accurate information for it, and carriers, not Zuops, decide whether to approve it. We share registration information with carriers and registries for that purpose.
Carriers and email providers can filter, delay or block messages for reasons outside our control, so we can’t guarantee delivery. To protect deliverability and our numbers, we may set sending limits, filter or block messages, and pause sending that looks unlawful or harmful.
Don’t send messages about illegal products or services, or about categories carriers prohibit or restrict (such as cannabis, payday or high-risk loans, debt collection or relief, gambling, firearms or sexual content), or messages that are deceptive, harassing or phishing.
Reply STOP to stop messages from that business, or HELP for help. Message frequency varies. Message and data rates may apply. Carriers aren’t liable for delayed or undelivered messages. For questions about a message, contact the business that sent it, or email support@zuops.com.
When you connect an ad account or other platform (for example Meta or Google), you authorize us to access it and act in it as needed for the features you use, such as reading results, creating and publishing ads and posts, and applying the rules you set. You’re responsible for following those platforms’ terms and advertising policies, including their special rules for housing, employment, credit and political ads.
You’re responsible for all ad spend in your ad accounts, including spend started or changed by features you turn on, such as automated ad launching, budget rules or auto-pause. Review campaigns before they go live and keep an eye on them. We’re not responsible for ad rejections, account restrictions or bans, platform outages or changes, or how ads perform.
Your use of any third-party service is governed by that provider’s own terms, and we don’t control it. Providers can change or end their connections, which may change or end features in Zuops.
You’re responsible for the pages, websites, forms, chat widgets and booking pages you publish with the Services, including their content, the domains you connect, any tracking pixels or scripts you add, and your own privacy policy, cookie notices and consent wording for your visitors. If a form collects phone numbers for texts or calls, it must include the consent wording the law requires. We may take down a page that breaks these Terms or the law.
If you send invoices, take payments or collect signatures through the Services, payments are handled by third-party payment processors under their own terms, and you may need an account with them. Zuops isn’t a bank or money transmitter and isn’t a party to transactions between you and your customers, so we aren’t responsible for disputes, refunds or chargebacks between you and them. You’re responsible for your invoices and taxes, and for making sure the contracts you send are lawful and enforceable.
If you’re an agency using Zuops to serve clients, including through sub-accounts, client logins or a white-label brand on your own domain:
We don’t market Zuops to your clients through your white-label brand. We may contact a client user directly only where needed for security or legal reasons, or to answer their own privacy request. If your account ends, your clients’ access ends too, so plan any transition with them in advance.
If you use our API, MCP server or other developer access, keep your keys secret and replace them if they’re exposed. You’re responsible for everything done with your keys. Stay within rate limits and documented use, and don’t use developer access to bulk-export Zuops Materials or to overload the Services. We may change, limit or revoke API access to protect the Services and other users.
You agree not to use the Services to, or try to:
We may investigate suspected violations, remove content, and suspend or close accounts as described in Section 18. Please report abuse to support@zuops.com.
Be respectful in the community and on live calls. Don’t post spam, promote other platforms, or post anything that breaks these Terms. Training, coaching, examples and results shared by us or other members are for education. They aren’t professional advice, and other people’s results don’t predict yours. We may moderate or remove content and limit access to community features.
Zuops, the Services and Zuops Materials, including our software, designs, text and trademarks, belong to us and our licensors. These Terms don’t give you any rights in them except the limited right to use the Services as these Terms allow. If you send us ideas or feedback, we may use them without any obligation to you.
If you believe something in the Services infringes your copyright, email support@zuops.com with the work, where the material is, your contact details, a statement that you believe in good faith the use isn’t authorized, and a statement under penalty of perjury that your notice is accurate and that you’re authorized to act. We may remove the material and close the accounts of repeat infringers.
We’re always improving Zuops and may add, change or remove features. If we remove a major feature of a paid plan, we’ll tell you ahead of time where we reasonably can. Features labeled beta, preview or early access may be incomplete and can change or end without notice.
We work hard to keep the Services available, but they may be unavailable at times for maintenance or because of problems with our providers, carriers or the internet. We may limit use that puts the Services or other users at risk.
You can stop using Zuops at any time. We may suspend or close your account, or part of it (for example texting), if you break these Terms, don’t pay, create legal or security risk, or if a carrier, platform, payment processor or authority requires it. Where reasonable, we’ll tell you first and give you a chance to fix the problem. We may act right away for serious or repeated violations, abuse or legal risk.
If we close your account without cause, we’ll refund the prepaid fees for the unused part of your current subscription. After an account is closed, you can ask us for an export of your data for 30 days, unless the law or the reason for closing it prevents that. Sections 4, 5, 6, 7, 16 and 19 to 25, and any other terms that by their nature should continue, survive the end of these Terms.
The Services, Zuops Materials and AI output are provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement. We don’t promise that the Services will be uninterrupted or error-free, that messages or calls will be delivered, that AI output will be accurate, or that you’ll get any particular result, including leads, sales, ad performance, or approval from advertising platforms or carriers.
To the fullest extent the law allows: (a) Zuops and its owners, employees, contractors and suppliers won’t be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill, business opportunities or ad spend, arising from these Terms or the Services, even if told they were possible; and (b) our total liability for all claims relating to these Terms or the Services is limited to the greater of the amount you paid us in the 12 months before the event that gave rise to the claim, or US$100.
These limits apply to every kind of claim and are part of how we price the Services. Some places don’t allow some of these limits, so they may not fully apply to you.
You’ll defend, indemnify and hold harmless Zuops and its owners, employees, contractors and agents from any claim, fine, penalty, loss or cost (including reasonable attorneys’ fees) arising from:
We’ll tell you about the claim, and we may choose to control its defense at your expense. You won’t settle a claim in a way that admits fault for us or binds us without our consent.
Most problems are solved quickly by talking. Before starting arbitration or a lawsuit, send a written description of the dispute and what you’re asking for to support@zuops.com or to our mailing address. We’ll do the same if we have a dispute with you. We’ll both try in good faith to resolve it for 30 days.
If we can’t resolve it, any dispute, claim or controversy arising out of or relating to these Terms or the Services (including whether this Section 22 applies) will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, or its Consumer Arbitration Rules where those apply. The arbitration will take place in Spokane County, Washington, or by video, before a single arbitrator, and judgment on the award may be entered in any court with jurisdiction. You and Zuops each give up the right to a jury trial and to have a court decide the dispute.
Either of us may bring an individual claim in small claims court, and either of us may ask a court for an injunction to stop misuse of intellectual property or unauthorized access to the Services.
Disputes will be brought only on an individual basis, not as a plaintiff or class member in any class, collective, consolidated or representative proceeding, and an arbitrator may not combine more than one person’s claims. If this waiver is found unenforceable for a claim, that claim will be decided in court, not in arbitration.
To the extent the law allows, any claim must be brought within one year after it arises, or it’s permanently barred.
You can opt out of arbitration within 30 days after you first agree to these Terms by emailing support@zuops.com from your account email with your name and a statement that you opt out of arbitration. Opting out doesn’t affect anything else in these Terms.
These Terms are governed by the laws of the State of Washington, USA, and applicable US federal law, including the Federal Arbitration Act, without regard to conflict-of-law rules. Except for disputes that go to arbitration or small claims court, you and Zuops agree to the exclusive jurisdiction of the state and federal courts located in Spokane County, Washington. Nothing in these Terms takes away protections you have under the mandatory consumer laws of the place where you live.
We may update these Terms. If a change is material, we’ll tell you by email or in the app at least 30 days before it takes effect, unless it has to take effect sooner because of the law or to stop abuse, or it only covers new features. The date at the top shows the current version. If you keep using the Services after a change takes effect, the updated Terms apply. If you don’t agree, you can cancel before then.
These Terms, our Privacy Policy and any terms shown for a specific feature or purchase are the entire agreement between you and Zuops about the Services. If a provision is found unenforceable, it’s limited as little as needed and the rest stays in effect. Not enforcing a provision isn’t a waiver. You may not assign these Terms without our consent; we may assign them in a merger, acquisition or sale of assets. Neither of us is liable for delays caused by events beyond reasonable control. We’re independent parties. We send notices to the email on your account or in the app; you send notices to support@zuops.com or our mailing address. You’ll comply with export control and sanctions laws. Headings are for convenience only.
